Deep dive - the full story
The National Company Law Appellate Tribunal (NCLAT) New Delhi bench has ruled that suspended board members of a corporate debtor lack the standing to revisit or contest a corporate insolvency resolution plan after it has been fully put into effect. The appellate tribunal stressed that letting erstwhile promoters challenge settled matters would undermine the commercial objectives of the insolvency framework.
Under the Insolvency and Bankruptcy Code, once the committee of creditors approves a revival proposal and the adjudicating authority endorses it, the plan binds all stakeholders. Giving suspended management an avenue to disrupt executed schemes would introduce uncertainty for incoming investors and delay the turnaround of distressed enterprises. Insolvency professionals, resolution applicants, and lenders should ensure thorough documentation during the plan approval stages to withstand frivolous downstream challenges.
Corporate debtors and advisors must recognize that avenues for former directors to raise grievances close permanently once implementation concludes. Finality in insolvency outcomes protects corporate asset values and incoming capital.
